Hoist AI provides an AI-powered platform for discovering, qualifying, and preparing grant and procurement applications. Our Service includes:

• Opportunity Discovery: AI-powered search and matching of funding opportunities • Eligibility Analysis: Automated assessment of fit against funding criteria • Application Assistance: AI-generated content and writing support • Analytics: Win Score predictions and application tracking

The Service is provided "as is" and we may modify, suspend, or discontinue features at any time.

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information • Maintain and update your information as needed • Keep your password secure and confidential • Notify us immediately of any unauthorised access • Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

You agree not to:

• Use the Service for any unlawful purpose • Submit false, misleading, or fraudulent applications • Attempt to gain unauthorised access to our systems • Interfere with or disrupt the Service or servers • Upload viruses, malware, or malicious code • Scrape, crawl, or use automated tools without permission • Resell or redistribute the Service without authorisation • Violate any applicable laws or regulations

We reserve the right to investigate and take appropriate action against violations, including account termination and legal action.

Our Content: The Service, including its design, features, and content, is owned by Hoist AI and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our permission.

Your Content: You retain ownership of content you create or upload to the Service. By using the Service, you grant us a limited licence to use, store, and process your content solely to provide the Service.

AI-Generated Content: Content generated by our AI tools is provided for your use in applications. You are responsible for reviewing and verifying all AI-generated content before submission.

Free Tier: Some features are available at no cost with usage limitations.

Paid Plans: Paid subscriptions are billed monthly or annually as selected. By subscribing, you authorise us to charge your payment method on a recurring basis.

Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.

Price Changes: We may change our prices with 30 days' notice. Continued use after price changes constitutes acceptance.

Taxes: Prices exclude applicable taxes, which will be added at checkout.

No Guarantee of Success: Hoist AI provides tools and assistance, but we do not guarantee that you will win any grant or procurement opportunity. Success depends on many factors beyond our control.

AI Limitations: AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and verifying all content before use.

Third-Party Services: The Service may integrate with third-party services. We are not responsible for the availability, accuracy, or practices of third parties.

AS IS: THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are not liable for any indirect, incidental, special, consequential, or punitive damages • Our total liability is limited to the amount you paid us in the 12 months before the claim • We are not liable for any loss of data, profits, or business opportunities

Some jurisdictions do not allow limitation of liability for certain damages, so some of these limitations may not apply to you.

You agree to indemnify and hold harmless Hoist AI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service • Your violation of these Terms • Your violation of any third-party rights • Content you submit through the Service

We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms.

Upon termination: • Your right to use the Service ceases immediately • We may delete your account and content • Provisions that should survive termination will remain in effect

These Terms are governed by the laws of Victoria, Australia. Any disputes will be resolved in the courts of Victoria, Australia.

For users in other jurisdictions, mandatory local consumer protection laws may apply in addition to these Terms.

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms on our website • Sending an email to your registered address • Displaying a notice in the Service

Continued use of the Service after changes constitutes acceptance of the new Terms.
